These Terms & Conditions govern the purchase and use of services provided by Aspen Learning (“Aspen Learning,” “we,” “us,” or “our”). By purchasing or using our services, you agree to these Terms & Conditions.

1. Overview

Aspen Learning provides professional services, digital platforms, consulting, and subscription-based learning solutions. Due to the nature of these services, all sales are subject to the terms outlined below.

3. a) Services & Consulting

Payments for consulting services, system design, implementation work, and custom development are non-refundable once work has commenced.

If a project is canceled before work begins, a refund may be issued at our discretion, minus any administrative or preparation costs incurred.

1. b) Subscription Services

Subscription-based services (including LMS hosting, analytics, AI tools, or platform access) are billed on a recurring basis unless otherwise stated in a written agreement.

Refunds are not provided for partial billing periods.

You may cancel future renewals by providing written notice before the next billing cycle.

Access to services will remain active until the end of the current billing period.

1. c) Digital Products & Downloads

All digital products, downloadable materials, templates, and software-related services are non-refundable once access has been granted.

3. Exceptions

Refunds or service credits may be considered in limited circumstances, such as:

Duplicate billing errors

Technical failures that prevent service access and cannot be resolved

Any exception is granted solely at Aspen Learning’s discretion.

4. Late or Missing Refunds (If Applicable)

If a refund has been approved:

Please allow processing time for your financial institution.

If the refund does not appear after reasonable processing time, contact us at the email below.

5. Modifications and Cancellations

Aspen Learning reserves the right to:

Modify or discontinue services with reasonable notice

Terminate access for violations of applicable agreements or policies

Client-specific cancellation terms may be outlined in separate service agreements or proposals.

6. Intellectual Property

All materials, systems, configurations, and documentation provided by Aspen Learning remain the intellectual property of Aspen Learning unless otherwise stated in writing.

Clients retain ownership of their own content and data, subject to platform and service agreements.

7. Limitation of Liability

To the maximum extent permitted by law, Aspen Learning shall not be liable for indirect, incidental, or consequential damages arising from the use or inability to use our services.

Services are provided “as is” and “as available.”

8. Governing Law

These Terms & Conditions are governed by the laws of the Province of Alberta, Canada, without regard to conflict of law principles.
